• Feedback & Suggestions: Any feedback, suggestions, or ideas you provide regarding Luna AI may be used by us freely for product improvement and development, without restriction, attribution, or compensation
• User Content: You retain full ownership of any content, information, or data you provide during your interactions with Luna AI
• AI-Generated Content: We do not claim ownership over AI-generated outputs. However, you acknowledge that Luna AI may generate the same or similar outputs for others, and we reserve all rights to do so
• Content License: You grant Luna AI a worldwide, non-exclusive, royalty-free license to use content you provide solely for the purpose of providing and improving our services to you

All technology, software, features, functionality, branding, and other proprietary elements of Luna AI services are the exclusive property of Luna AI.

If we discover that a user who has not reached the age of majority has created an account, we will immediately terminate that account.

Luna AI services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We specifically disclaim:

• Any implied warranties of merchantability or fitness for a particular purpose
• Any warranty regarding the accuracy, reliability, or completeness of AI responses
• Any guarantee of continuous, uninterrupted, or secure access to our services
• Any warranty that our services will meet your specific requirements
• Any warranty that defects will be corrected

To the maximum extent permitted by law, Luna AI and its affiliates shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or exemplary damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from any content generated by the AI system
• Any actions you take based on the AI's responses or recommendations
• Damages resulting from unauthorized access to your account
• Damages resulting from third-party services or links

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Luna AI, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees) arising from:

• Your use of and access to Luna AI services
• Your violation of any term of these Terms of Service
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your content caused damage to a third party

This defense and indemnification obligation will survive these Terms of Service and your use of Luna AI services.

13. Dispute Resolution

For any dispute you have with Luna AI, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice to [email protected].

If we are unable to resolve the dispute informally, we each agree to resolve any claim, dispute, or controversy arising out of or in connection with these Terms exclusively through final and binding arbitration, except as specifically set forth below. The arbitration will be conducted in accordance with the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules.

The arbitration shall be conducted in English and the seat of arbitration shall be London, United Kingdom.

Nothing in this section waives your right to bring a claim in the small claims court in your jurisdiction if such court exists and your claim qualifies.

14. Termination of Services

We may terminate or suspend your access to Luna AI services at any time, without prior notice, for any reason, including:

• Violation of these Terms of Service
• Failure to pay any fees when due
• Requests by law enforcement or government agencies
• Extended periods of inactivity
• Unexpected technical issues or problems
• If we believe our services are being used fraudulently or unlawfully

Upon termination, your right to use the services will cease immediately. Any provisions of these Terms that by their nature should survive termination shall remain in effect.

15. Force Majeure

Luna AI shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond Luna AI's reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, acts of God, terrorism, pandemic, epidemic, strikes, labor disputes, government orders, or any other force majeure event.

Luna AI services may contain links to third-party websites or services that are not owned or controlled by Luna AI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

By using our services, you acknowledge and agree that Luna AI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

You agree to comply with all applicable import, re-import, export, and re-export control laws and regulations, including the export control laws of the United Kingdom and the Export Administration Regulations maintained by the United States Department of Commerce. You agree not to transfer, directly or indirectly, any regulated item or information to anyone outside your country or to any country or entity subject to export restrictions without first obtaining all required licenses and approvals.

These Terms of Service are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. Any legal action arising out of or relating to these Terms shall be filed exclusively in the courts located within the United Kingdom.

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
